Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Vaultiyo Ltd ("Vaultiyo", "we", "us", "our"), governing your access to and use of the Vaultiyo platform, including our website at vaultiyo.com and all associated services.

We may update these Terms from time to time. When we make material changes, we will notify you by email and by displaying a notice on the platform at least 14 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.

Definitions

In these Terms, the following words have the following meanings:

• "Platform" means the Vaultiyo website, mobile applications, and all associated services operated by Vaultiyo Ltd.
• "Creator" means a verified user who publishes content on the platform and receives payment for subscriptions and other purchases.
• "Subscriber" means a user who subscribes to one or more Creators on the platform.
• "Content" means any material uploaded to the platform by Creators, including photos, videos, audio, text, and other files.
• "Subscription" means a recurring payment by a Subscriber to access a Creator's content for a defined period.
• "PPV" means pay-per-view, a one-time payment to unlock a specific piece of Content.
• "Tip" means a voluntary additional payment from a Subscriber to a Creator.
• "Commission" means the 10% fee retained by Vaultiyo from Creator earnings.

Eligibility

To use Vaultiyo, you must:

• Be at least 18 years of age. Vaultiyo does not permit use by anyone under the age of 18, regardless of jurisdiction.
• Have the legal capacity to enter into binding contracts in your jurisdiction.
• Not be prohibited from receiving services under applicable law.
• Provide accurate and truthful information during registration and identity verification.

By registering, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not use the platform.

Accounts

Registration

To access most platform features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at security@vaultiyo.com if you suspect unauthorised access to your account.

One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions or platform policies is prohibited and will result in termination of all associated accounts.

Account Transfers

Accounts are personal and non-transferable. You may not sell, transfer, or assign your account or any account rights to another person.

Creator Terms

Identity Verification

All Creators must complete Vaultiyo's identity verification process before publishing content. Verification requires submission of a valid government-issued photo ID and a contemporaneous selfie. Creators must be aged 18 or over. We reserve the right to refuse or revoke verification at our discretion.

Content Ownership and Responsibility

Creators are solely responsible for all Content they upload to the platform. By uploading Content, you represent and warrant that:

• You own all rights in the Content or have obtained all necessary licences and permissions.
• The Content does not infringe any third party's intellectual property rights, privacy rights, or other rights.
• All persons depicted in the Content have provided informed consent to appear in it.
• Any person depicted who could be under 18 is in fact 18 or over, and you hold documentation to verify this.
• The Content complies with all applicable law and Vaultiyo's Content Policy.

Creator Commission and Payouts

Agency Agreements

Creators may appoint an agency or management company to manage their account. Agency commission may not exceed 20% of the Creator's net earnings. Creators must disclose any agency relationship through the platform's agency settings. Vaultiyo enforces the 20% agency cap and will not process agency payments that exceed this limit.

Creator Obligations

Creators must fulfil subscription commitments. If a Creator sets a subscription price and Subscribers pay, the Creator is obligated to provide the promised content type and frequency. Chronic non-delivery may result in account suspension and refund obligations.

Subscriber Terms

Subscriptions

Subscriptions are recurring payments charged at the frequency selected at checkout (monthly or weekly). Subscriptions automatically renew until cancelled. You may cancel a subscription at any time and will retain access to the Creator's content until the end of the current billing period. No refunds are given for unused portions of a subscription period except as required by applicable law.

PPV and Tips

PPV payments and tips are one-time transactions and are non-refundable except where required by law or where the Content was not delivered as described.

Content Access

Subscribing to a Creator grants you a personal, non-exclusive, non-transferable licence to view that Creator's content for your own personal, non-commercial use during the active subscription period. You may not download, copy, distribute, or reproduce Content except as expressly permitted by the Creator.

Acceptable Use

You may not share Creator content with non-subscribers, upload Creator content to other platforms, use Creator content for commercial purposes, or engage in any conduct that violates a Creator's rights or dignity.

Payments and Billing

Payment Processing

All payments on the platform are processed by Stripe, Inc. By making a payment, you agree to Stripe's Terms of Service. Vaultiyo does not store payment card numbers.

Pricing

Subscription prices are set by Creators and displayed in GBP. Creators may change their subscription price with at least 30 days notice to active Subscribers. Existing Subscribers will not be automatically charged the new rate; they must actively re-subscribe at the new price.

Chargebacks

If you dispute a charge with your bank or card issuer rather than contacting Vaultiyo support first, we reserve the right to suspend your account pending investigation. Fraudulent chargeback claims may result in permanent account termination and recovery action.

Taxes

Creators are responsible for understanding and meeting their tax obligations in respect of earnings received through Vaultiyo. Vaultiyo may be required by law to report Creator earnings to tax authorities. Subscribers are responsible for any applicable sales tax in their jurisdiction, which may be added to the displayed price at checkout.

Content Rules

All Content on the platform must comply with our Content Policy. The following is strictly prohibited on Vaultiyo:

• Content depicting or describing anyone under the age of 18 in a sexual context
• Content that depicts or promotes non-consensual activity
• Content depicting real violence, abuse, torture, or harm to any person or animal
• Content that threatens, harasses, or incites violence against any individual or group
• Content that infringes any person's copyright, trademark, or other intellectual property rights
• Content that discloses another person's private or confidential information without their consent
• Content that violates any applicable law

Vaultiyo reserves the right to remove any Content that violates these rules and to terminate accounts of users who repeatedly or seriously violate our Content Policy, without prior notice and without refund.

Intellectual Property

Your Content

You retain all intellectual property rights in the Content you upload to the platform. By uploading Content, you grant Vaultiyo a non-exclusive, worldwide, royalty-free licence to host, store, transmit, display, and distribute your Content solely for the purposes of operating and providing the platform services.

Vaultiyo's IP

All platform software, design, trademarks, and other intellectual property owned by Vaultiyo remain the exclusive property of Vaultiyo Ltd. Nothing in these Terms grants you any rights to use Vaultiyo's trademarks, logos, or brand elements without prior written consent.

Feedback

If you submit feedback, suggestions, or ideas about the platform, you grant Vaultiyo the right to use that feedback without restriction or compensation to you.

Prohibited Conduct

The following conduct is prohibited on Vaultiyo. Violations may result in immediate account termination:

• Creating accounts if you are under 18 or have been previously terminated for policy violations
• Impersonating any person or entity
• Attempting to gain unauthorised access to any part of the platform or another user's account
• Using automated tools (bots, scrapers, crawlers) to access the platform without our express written permission
• Reverse engineering, decompiling, or disassembling any part of the platform
• Interfering with the operation of the platform or other users' enjoyment of it
• Engaging in any form of fraud, including creating fake accounts or generating fraudulent transactions
• Circumventing or attempting to circumvent our payment systems
• Violating any applicable law or regulation

DMCA and Copyright

Vaultiyo respects the intellectual property rights of others and expects users to do the same. We respond to valid notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA) and equivalent UK law.

To submit a copyright infringement notice, contact our designated agent at dmca@vaultiyo.com with the information required by law. Full details of our DMCA process are set out in our DMCA Policy.

Users who repeatedly infringe copyrights will have their accounts terminated.

Termination

Termination by You

You may close your account at any time by following the account deletion process in your settings. Creators must ensure all outstanding subscriber obligations are met before closing an account. Pending payouts will be processed within the normal payout cycle.

Termination by Vaultiyo

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, our Content Policy, or any applicable law. We may also terminate accounts that have been inactive for more than 24 consecutive months.

Effect of Termination

On termination, your right to use the platform ceases immediately. Creator Content will be deleted within 30 days of account closure. Subscriber access to subscribed Content will end at the conclusion of the current billing period.

Limitation of Liability

Vaultiyo is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

Platform Availability

We do not guarantee uninterrupted or error-free operation of the platform. We are not liable for any loss resulting from downtime, technical failures, or service interruptions outside our reasonable control.

Disputes

If you have a dispute with Vaultiyo, we encourage you to contact us first at support@vaultiyo.com to attempt resolution informally. Most disputes can be resolved quickly through direct communication.

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the Arbitration Act 1996, unless you are a consumer located in the UK, in which case you retain the right to bring a claim in the courts of England and Wales.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Subject to the disputes clause above, both parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising under or in connection with these Terms.

If you are a consumer in the European Union, you may also benefit from the mandatory consumer protection laws of your country of residence.
